J. Michael Vaughn


Michael Vaughn is a corporate and securities law attorney and brings to Stuart Kane a unique and complementary blend of experiences over a legal career spanning 28 years. Mr. Vaughn counsels companies throughout their lifecycle, from company formations and start-up activities, to raising capital, forming and leveraging relationships with investors, employees, partners, suppliers, distributors and customers, and financing operations, to selling the company, supporting the entrepreneurs, investors, officers and directors and management teams behind them.

He is highly regarded as a team player by his clients, who appreciate his practical approach to corporate transactions. Mr. Vaughn has extensive hands-on experience in mergers and acquisitions, financing transactions, corporate governance, equity incentive and compensation programs and strategic transaction support.


Before establishing his own law firm in December 2013 to provide high quality corporate legal services to small and medium-sized businesses, Mr. Vaughn represented companies in a variety of industries during aggressive growth stages. From 2008 to 2013, he served as Vice President and General Counsel for Applied Medical Corporation, a privately held medical device manufacturer. From 2000 to 2008, Mr. Vaughn was Vice President and General Counsel for Quest Software, Inc., then a publicly traded software company. From 1987 to 2000, his law firm practice focused on corporate transactions, including mergers and acquisitions, offerings of equity and debt securities, bank loans and syndicated credit facilities, and general corporate and business law matters. Mr. Vaughn played primary roles representing CKE Restaurants, Inc. and Fidelity National Financial, Inc., national leaders in the quick-service restaurant and real estate services industries, respectively, in significant acquisition and financing transactions from 1996 to 2000.

Before going “in-house” in 2000, Mr. Vaughn was a shareholder and chaired the securities practice group of Stradling Yocca Carlson & Rauth.
